Merchant Terms

For participating shops

These terms govern your shop’s use of Passa Bonus. In short: you fund a small prepaid wallet, a small fee applies per verified reward, and you are responsible for honouring the rewards your customers earn and for your own sales and taxes. You can pause or leave anytime; rewards your customers have already earned must still be honoured.

1. Parties

These terms are between the participating shop (“you”, “the Merchant”) and SkandaBio Organics Private Limited (“we”, “us”), a company incorporated in India with its registered office at 316/6A, Melapachakudi Village, Fathima Nagar Post, Viralimalai, Tamil Nadu – 621316, India, operator of the Passa Bonus service (“the Service”). By onboarding to, or using, Passa Bonus, you agree to these terms.

2. The Service

Passa Bonus provides you with tools to run a loyalty program over WhatsApp: a counter QR, automated payment-receipt verification, a reward ledger, an owner dashboard, and account summaries. Passa Bonus is a technology platform — it is not a party to the sale between you and your customer, and does not receive, hold or process the customer’s payment, which is made directly to you by UPI.

3. Wallet and fees

You maintain a prepaid wallet with us. This wallet is a prepayment of Passa Bonus service fees only; it is not a payment instrument, not a deposit, and cannot be used to pay third parties;
A small fee applies for each verified customer reward, up to any monthly cap we set for your shop. Fees are drawn from your wallet;
Unused wallet balance is not automatically refundable on exit; contact us to settle any balance.

4. Your responsibilities

Honour rewards. You are solely responsible for providing and handing over the rewards your customers earn at your shop, including rewards already earned if you later pause or change the program;
The sale is yours. You are the seller of your goods and are solely responsible for the sale, its pricing, quality, invoicing and all applicable taxes (including GST). Passa Bonus has no responsibility for the underlying sale;
Accurate information. You will keep your shop, UPI and contact details accurate and up to date;
Lawful use. You will use the Service lawfully, will not encourage fake or duplicate claims, and will present the program honestly to customers (as a loyalty program, not a lottery or prize scheme).

5. Data protection

You and we each handle customer personal data responsibly and in line with applicable law, including India’s Digital Personal Data Protection Act, 2023. We process customer data to operate the Service as described in our Privacy Policy. You must handle any customer information you access through the dashboard only to serve those customers, and keep your dashboard PIN confidential.

6. Pause, suspension and termination

You may pause or leave the program at any time by contacting us. We may pause or suspend your shop where fees are unpaid, where we reasonably suspect misuse, or as required by law. On pause or termination, new rewards stop, but rewards your customers have already earned remain their entitlement and must be honoured by you.

7. Disclaimers and liability

The Service is provided “as is”. To the fullest extent permitted by law, we are not liable for lost sales, lost profits, or any indirect or consequential loss, and our total liability to you is limited to the Passa Bonus fees you paid in the three months before the claim. Nothing in these terms limits liability that cannot be limited by law.

8. Confidentiality

Each party will keep the other’s non-public business information confidential and use it only in connection with the Service.

9. Governing law

These terms are governed by the laws of India, and the courts of Tamil Nadu, India shall have jurisdiction.
